Named for the people who crossed the country first.
Built for the people building it next.

A specialist consulting firm based in Subiaco, working with Australian innovators across the country. The firm exists because the R&D Tax Incentive is the single largest pool of non-dilutive capital available to Australian companies, and the work of accessing it is too often done badly.

Origin

A firm named for the people who read the country honestly.

The Overlanders were the drovers, surveyors and pastoralists who moved cattle and built routes across Australia in the nineteenth century. The work was slow, technical, and required reading the country honestly. It needed people who could plan around it, not against it.

The palette draws on Australian landscape themes: the deep greens of karri forests, the muted tones of spinifex and limestone, the warmth of bark. It earns its keep on the website the same way the work earns its keep with clients. Restraint, discipline, substance.

The companies we work with are doing similarly difficult work across the Australian economy. The firm exists to support that work with capital, structure and documentation that lasts.

Philosophy

Three principles, applied to every engagement.

The R&D Tax Incentive is one of the most poorly handled programmes in the market. The firm exists because the gap between what's possible and what's being delivered is wider than it should be.

01

Preserve ownership.

Equity is the most expensive capital an Australian innovator can raise. The R&D Tax Incentive and the financing structures around it let companies fund the work without diluting the founders. Every engagement starts from that premise.

Non-dilutive by default
02

Engineer outcomes.

R&D consulting is too often delivered as a service of judgement and memory. We engineer it. Proprietary tooling, structured workflows and citation traceability make every output reproducible, defensible and faster than the alternative.

Software-led, not paper-led
03

Build the company.

The claim is the door. Capital, commercialisation strategy, market entry, executive sourcing, partner introductions and debt structuring are what we walk through it for. The engagement is whatever the company actually needs.

Gordon Smith-Gander

Gordon Smith-Gander

Co-founder and Director

Gordon is a commercial strategist and operations executive with 15 years' experience across logistics, mining services, recycling, and innovation ventures in Western Australia. He has built and led businesses from the ground up, delivering operational turnarounds and growth across both private and early-stage companies.

As co-founder of Overlander Capital, Gordon brings the founder's view to every engagement: what non-dilutive capital actually funds, what a lodged claim needs to survive scrutiny, and where the R&D Tax Incentive fits inside the broader capital position of a growing business. He has spent his career on the operating side of the companies the firm now works alongside.

His experience founding and exiting businesses in transport, industrial services, and technology gives him a practical, execution-focused perspective on commercialising innovation. He remains active as a founding shareholder in emerging Western Australian ventures across resources and early-stage technology.

Angus Henderson

Angus Henderson

Co-founder and Director

Angus is a corporate and commercial lawyer with over a decade of experience advising Australian and international clients on M&A, IPOs and ASX listings, equity capital markets, and corporate governance. He co-founded AGH Law and in 2025 launched Luma Legal, a Perth-based corporate and commercial law firm. His clients span founders, ASX-listed companies, institutional investors and growth-focused businesses across technology, mining and resources, and industrial services.

As co-founder of Overlander Capital, Angus brings a lawyer's discipline to every engagement: how the activity is described, how the evidence is organised, and how the documentation will read to a regulator six months after lodgement. He has spent his career translating technical work into commercial and legal instruments that hold up under scrutiny.

Alongside his practice and Overlander, Angus serves as a director of a Western Australian resources venture.

Stephen Carroll

Stephen Carroll

Director

Stephen is a specialist R&D and innovation consulting professional with more than 25 years' experience. A former partner and director at leading accounting firms, he has worked with thousands of companies across the innovation lifecycle, from early-stage ventures through to ASX-listed multinationals.

He is the Founder and Director of Evolv3, a specialist R&D tax firm and Overlander's professional services partner. He also serves as President of the R&D Tax Advisors Association (RDTAA), sits on the Advisory Board of Brevet Capital Management, and is the founder of the WA Innovation Calendar.

His approach is proactive, tailored and grounded in deep technical knowledge of the RDTI framework. At Overlander, Stephen leads technical oversight and quality assurance across R&D engagements, supporting the integrity of every claim that goes out the door.
