Named for the people who crossed the country first.
Built for the people building it next.

A specialist consulting firm based in Subiaco, working with Australian innovators across the country. The firm exists because the R&D Tax Incentive is the single largest pool of non-dilutive capital available to Australian companies, and the work of accessing it is too often done badly.

Origin

A firm named for the people who read the country honestly.

The Overlanders were the drovers, surveyors and pastoralists who moved cattle and built routes across Australia in the nineteenth century. The work was slow, technical, and required reading the country honestly. It needed people who could plan around it, not against it.

The palette draws on Australian landscape themes: the deep greens of karri forests, the muted tones of spinifex and limestone, the warmth of bark. It earns its keep on the website the same way the work earns its keep with clients. Restraint, discipline, substance.

The companies we work with are doing similarly difficult work across the Australian economy. The firm exists to support that work with capital, structure and documentation that lasts.

Philosophy

Three principles, applied to every engagement.

The R&D Tax Incentive is one of the most poorly handled programmes in the market. The firm exists because the gap between what's possible and what's being delivered is wider than it should be.

01

Preserve ownership.

Equity is the most expensive capital an Australian innovator can raise. The R&D Tax Incentive and the financing structures around it let companies fund the work without diluting the founders. Every engagement starts from that premise.

Non-dilutive by default
02

Engineer outcomes.

R&D consulting is too often delivered as a service of judgement and memory. We engineer it. Proprietary tooling, structured workflows and citation traceability make every output reproducible, defensible and faster than the alternative.

Software-led, not paper-led
03

Build the company.

The claim is the door. Capital, commercialisation strategy, market entry, executive sourcing, partner introductions and debt structuring are what we walk through it for. The engagement is whatever the company actually needs.

The claim is the door
The team

Senior leadership, on every file.

The firm is run by its founders. Every engagement is prepared, reviewed and signed off by the same team that designed it.

Gordon Smith-Gander

Co-founder

Gordon is a commercial strategist and operations executive with 15 years' experience across logistics, mining services, recycling, and innovation ventures in Western Australia. He has built and led businesses from the ground up, delivering operational turnarounds and growth across both private and early-stage companies.

As co-founder of Overlander Capital, his focus inside the firm is expenditure modelling, offset structuring, financial governance and the operational systems that make the work reproducible at scale. He helps founders unlock non-dilutive funding, navigate the R&D Tax Incentive, and implement scalable corporate structures.

His experience founding and exiting businesses in transport, industrial services, and technology gives him a practical, execution-focused perspective on commercialising innovation.

Bachelor of Commerce (Economics & Management), University of Notre Dame Australia.

Angus Henderson

Co-founder

Angus is a corporate lawyer with over a decade of experience in capital structuring, M&A, and innovation-led growth. He co-founded AGH Law and later launched Luma Legal, working with founders and listed companies across technology, mining, and industrial sectors.

As co-founder of Overlander Capital, he leads project description drafting, eligibility analysis and audit posture across the firm's engagements, supporting high-growth and R&D-focused ventures with capital access, structuring, and strategy. His background spans technical writing, regulatory navigation and the disciplines that produce documentation an AusIndustry reviewer can defend as readily as the company that wrote it.

Angus is known for his pragmatic approach and ability to simplify complex issues into clear solutions. He also leads the firm's brand and external presentation, ensuring that the same discipline that runs through the consulting work also runs through how the firm presents itself.

Bachelor of Laws and Bachelor of Commerce, University of Western Australia. Admitted to practise in the Supreme Court of Western Australia and the High Court of Australia.
